Terms of Service

1. Accounts

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activity under your organization's account, including that of team members you invite. Two-factor authentication is required on every account.

2. Trial and billing

New organizations get a free trial with no card required. If you do not subscribe before the trial (plus a short grace period) ends, your account is automatically paused (not deleted), and you can resume by subscribing. Paid plans include a set number of shops; additional shops are billed automatically as metered overage. Subscriptions are billed in advance and, unless required otherwise by law, are non-refundable for partial periods. You can cancel at any time from your Billing page; cancellation takes effect at the end of the period you have already paid for.

3. Acceptable use

You may not use Watchtower to: violate any law; interfere with or disrupt the Service or its infrastructure; attempt to gain unauthorized access to any account, system, or data; reverse-engineer the Service beyond what applicable law permits; or resell the Service without our written consent.

4. Your data and the connector

You retain ownership of the data your Magento connector sends us and the content you configure (alert recipients, webhook URLs, project/client organization). You are responsible for having the right to install the connector on any store you connect, and for the accuracy of the alert destinations you configure. 5. Intellectual property

Watchtower, its software, and its branding are our property or that of our licensors. These Terms do not grant you any rights to our trademarks or branding beyond what is needed to use the Service as intended.

6. Indemnification

You agree to indemnify, defend, and hold harmless php4u Limited and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, the data you connect or configure (including store data you were not authorized to share), or your violation of any law or third-party right.

7. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate an account that violates these Terms, poses a security risk, or has payment that has failed and remains unresolved after reasonable notice.

8. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Anomaly detection is probabilistic: we do not guarantee that every anomaly on a monitored store will be detected, or that every alert reflects an actual incident. Nothing in this section limits any statutory rights you have as a consumer that cannot lawfully be excluded.

9. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.

10. Governing law and disputes

These Terms are governed by the laws of England and Wales, without regard to its conflict-of-law principles. You and we both submit to the exclusive jurisdiction of the courts of England and Wales for any dispute arising out of or relating to these Terms or the Service, except where applicable consumer-protection law gives you the right to bring or defend a claim in the courts of your own country or US state of residence. If you are a consumer resident in the EU or UK, these Terms do not limit any mandatory rights you have under local consumer-protection law.

11. General provisions

11.1 Force majeure

We are not liable for any delay or failure to perform caused by circumstances beyond our reasonable control, including internet or infrastructure outages, outages of third-party services we rely on (such as Stripe or our hosting providers), or natural disasters.

11.2 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms to a successor in connection with a merger, acquisition, or sale of substantially all of our assets.

11.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

11.4 Entire agreement

These Terms, together with our Privacy Policy and Cookie Policy and any order form or data processing agreement you've signed with us, are the entire agreement between you and us regarding the Service, superseding any prior agreements on the same subject.

11.5 No waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.

11.6 Notices

We may send you notices about the Service by email to your account's registered address or by posting them in the Service. You are responsible for keeping your contact details current.

12. Notice to California users

Under California Civil Code § 1789.3, California residents are entitled to know that they may contact us with complaints at [email protected], and, if a complaint is not resolved, may reach the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd, Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210 or (916) 445-1254.

13. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service and update the "Last updated" date above. Continued use of the Service after a change takes effect means you accept the updated Terms.
